Welcome to SimpliSmart Home Solutions, Inc. (“SimpliSmart”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our website, services, and any products delivered in connection with our smart home, AV, network, repair, and handyman services (collectively, “Services”). By accessing or using the Services (including scheduling, requesting, or receiving services), you agree to these Terms. If you do not agree, you should not use the Services.
1. Scope & Acceptance
1.1 These Terms apply to all users (“you” or “User”) accessing or using SimpliSmart’s website, mobile interfaces, or receiving any Services.
1.2 By using our Services, you affirm that you are at least 18 years old or using the Services under the supervision of a parent or legal guardian, and that you have the authority to agree to these Terms.
2. Service Authorization & Appointments
2.1 When you request Services from SimpliSmart (via website, phone, or other means), you authorize us to perform the tasks described in your order or request.
2.2 We will schedule an appointment time for a technician or team to visit your location. You agree to provide safe access, electricity, and a suitable environment for the work to take place.
2.3 You may cancel or reschedule an appointment subject to our Cancellation & Reschedule Policy (see Section 6).
3. Pricing, Fees & Payment
3.1 Service Fees – All prices and fees for Services shall be as stated in your quote or order confirmation (“Fees”). Fees are expressed in U.S. Dollars.
3.2 Changes & Adjustments – We reserve the right to adjust quoted Fees in case the scope changes substantially (e.g., additional parts, labor, or complexity beyond original scope). We will inform you before proceeding.
3.3 Billing & Payment – Payment is due upon completion of the Services unless otherwise agreed or stated in writing. We accept credit cards, checks, or other payment methods we designate.
3.4 Non-Refundable Policy – Unless otherwise expressly agreed in writing, payments for Services are final and non-refundable once work has begun.
3.5 Tax & Additional Charges – You are responsible for any applicable taxes, permits, or license fees associated with the Services, unless we state otherwise.
4. User Obligations & Representations
4.1 You represent and warrant that the service location is your property or that you have permission from the property owner, and that you are authorized to request and approve the Services.
4.2 You will provide accurate information regarding your existing systems, equipment, and any limitations or obstacles (e.g., hidden wiring, structural constraints).
4.3 You agree to comply with all applicable laws, codes, regulations, and permits related to the Services.
4.4 You are responsible for backing up any data or system configurations that may be impacted by the Services.
4.5 You are responsible for ensuring safe working conditions (e.g., clearing access, securing pets, removing obstructions) so that our technicians can perform work safely.
5. Disclaimer, Warranty & Limitation of Liability
5.1 Disclaimer of Warranties – To the maximum extent permitted by law, SimpliSmart provides services “as-is,” without warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
5.2 Limited Warranty – Where we offer a warranty on parts or labor, it will be explicitly stated in your service agreement. That warranty is your sole remedy, and we will not be liable beyond that.
5.3 Limitation of Liability – In no event shall SimpliSmart, its affiliates, employees, or contractors be liable for any indirect, incidental, special, punitive, or consequential damages, loss of data, loss of profit, or business interruption arising from or related to the Services, even if advised of the possibility of such damages.
5.4 Maximum Liability – Our total liability for claims arising out of or relating to the Services shall not exceed the total Fees you paid us for the particular service giving rise to the claim.
5.5 Force Majeure – We are not liable for delays or failures in performance resulting from causes beyond our reasonable control (e.g., natural disasters, power outage, labor disputes, regulatory actions).
6. Cancellation & Rescheduling
6.1 You may cancel or reschedule an appointment within the timeframe allowed by our policy. If you cancel or reschedule late (within 24 hours of the appointment or on the same day), a fee may apply.
6.2 If we need to reschedule due to technician availability, parts delivery, or other reasons, we will notify you promptly and propose a new time.
6.3 Cancelling an appointment after work has commenced or dispatching a technician may result in a cancellation charge or partial payment.
7. Intellectual Property & Content
7.1 All content, trademarks, logos, designs, text, graphics, and software on the SimpliSmart website or materials are the property of SimpliSmart or its licensors and are protected by U.S. and international intellectual property law.
7.2 You may not reproduce, distribute, adapt, or publicly display any of our materials without prior written permission.
8. Termination & Accounts
8.1 We may suspend or terminate your access to our Services or accounts if you violate these Terms or for other justifiable reasons (e.g., nonpayment, misuse).
8.2 If your account is terminated, you may lose access to any service records or preferences, and SimpliSmart may refuse to reactivate your account at its discretion.
9. Governing Law & Dispute Resolution
9.1 These Terms are governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-law rules.
9.2 Any dispute arising from or related to these Terms or the Services shall be resolved through binding arbitration in Hillsborough County, Florida, under the rules of American Arbitration Association, or in small claims court if applicable.
9.3 You and SimpliSmart expressly waive any right to a jury trial.
10. Miscellaneous
10.1 Severability – If any provision of these Terms is invalid or unenforceable, the remaining provisions will continue in full force.
10.2 Waiver – Failure to enforce a right or provision under these Terms does not constitute a waiver of such right or provision.
10.3 Assignment – SimpliSmart may assign or transfer these Terms or rights under them (e.g., in connection with a corporate merger), but you may not.
10.4 Notices – We may post notices on our website or send notices by email or U.S. mail to the address or email you provided.
10.5 Entire Agreement – These Terms, along with any service confirmation or agreements, constitute the entire agreement between you and SimpliSmart regarding the Services.
